1. Definitions
“Agency” refers to The Bruno Group Ltd, trading as Fork This.
“Client” means the person or company purchasing services from the Agency.
“Project” means the creative services provided by the Agency as set out in the accepted quote.
“Final Payment” is the total amount payable for the Project upon completion, subject to the terms herein.
2. Revisions Policy
Two rounds of revisions are included in the quoted price for each Project.
Additional revisions beyond the included two rounds will be quoted in advance and invoiced at an hourly rate of £100 (excluding VAT).
3. Cancellation and Deposit Policy
A deposit of 50% of the total project cost is required in advance to secure the booking.
Cancellation Refunds:
If a client cancels within 14 days of securing their booking, a refund of 90% of the deposit will be issued (with 10% retained as an administrative fee).
If a client cancels less than 14 days before the scheduled booking, they will receive a refund of 50% of any payments made.
If a client cancels less than 7 days before the scheduled booking, only 25% of the payments made will be refunded.
The Agency will endeavour to accommodate changes in dates or booking requirements in consultation with the Client before cancelling the booking.
4. Payment Terms and Invoicing
All invoices are due for payment within 14 days of the invoice date.
The deposit payment (50% of the total project cost) must be received before the booking is confirmed.
The final invoice is due within 14 days of final delivery of the Project.
Any additional costs (e.g., for travel, additional equipment hire, models, props, or other bespoke requirements) will be invoiced in advance along with the deposit payment and must be paid at the same time.
Late payments will incur interest at a rate of 10% per annum on the overdue amount.
5. Intellectual Property Rights
Upon receipt of final payment, full and perpetual rights to the final delivered content are transferred to the Client.
The Agency retains the right to use the final delivered content and any behind-the-scenes material for self-promotion, portfolio purposes, and marketing, unless the Client expressly requests otherwise in writing prior to the commencement of the Project. Should the Client request that these rights be withheld, additional fees may be incurred.
Unless otherwise stated in the Project quote or invoice, the transfer of rights is full and perpetual upon final payment.
6. Liability and Indemnity
**Limitation of Liability:**The Agency’s total liability in relation to any Project shall not exceed the total project costs paid by the Client. The Agency shall not be liable for any indirect, incidental, or consequential losses.
**Force Majeure:**The Agency shall not be held responsible for delays or failures in delivery caused by circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, or other events classified as force majeure.
**Client Responsiveness:**The Client agrees to provide feedback and necessary materials within 48 hours (excluding weekends) when requested by the Agency. Any delays in providing the required feedback that extend the project more than 2 weeks beyond the initially agreed deadline may result in additional administration fees, for which the Client will be liable.
**Client Responsibilities:**The Client warrants that they have obtained all necessary permissions, consents, and rights to film products, people, locations, or any other subject matter involved in the Project. The Agency shall not be held responsible for any legal issues arising from the Client’s failure to secure such permissions. Any additional legal or administrative requirements not specified in the Project brief will be the responsibility of the Client.
7. General Provisions
Entire Agreement: These Terms and Conditions, together with any accepted quote or proposal, constitute the entire agreement between the Agency and the Client. Any amendments must be agreed in writing by both parties.
Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Dispute Resolution: Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Additional Charges: Any services requested by the Client that are not included in the agreed scope of work will incur additional charges. The Agency reserves the right to adjust the Project fee to accommodate such services after consultation with the Client.
